I originally posted the following in the wrong forum (accounting), so with additional questions, i thought it made sense to post it here.

I have an opportunity to be involved as a partner in a C corp company unrelated to my TN visa work. If I do not have the company sponsor me then is this okay tax wise in the US?

However, in talking with the person who's interested in my participation, he said that I would not be a partner, but a shareholder (ie: having shares in the company by putting in money or equivalent) and potentially a director or board member.
If I do not get paid for this involvement (ie: the shares should go up in value as business occurs for some day selling out) and as a potential board member, then opinions may be asked but no money for it, then is that okay?
If not allowed, is there some combination that would be allowed?
