H-1B Sponsorship for Start-up Company

I am the president of a newly U.S. based Start-up company (S-Corp) and we would like to hire a person that is currently working under an H-1B with another company. Questions:

1) Given that we are only 1 week in existance, what if any challenges do we face in getting approval from CIS to sponsor an employee?

2) Is there a way to "transfer" the H-1B from the other company to ours or do we need to file from the beginning?

3) How do we ensure that the employee does not quit his secure job in the hopes of being an employee of my company only to have my company's application denied. i.e., how do we ensure a successful bridge from his current H-1B to ours with no gap in sponsorship.

4) How long can this process take, and how should we best proceed?
