As a Canadian citizen and resident only, is it necessary to file a 1040 with the IRS if the only source of US based income is dividends, capital gains or retirement account distributions (ira, roth no penalties) assuming I file a w8ben with my brokerage company and they withold the proper taxes. My thought is the w8ben will eliminate the need of filing a 1040.

Correct. If you have no US-source connected income, and correct withholding on your NEC income, you do not need to file.
