Tax implications of gift of shares for US/Canadian Citizen

I could be receiving a gift of shares that are currently held in a foundation. Does anyone know the tax implications for a dual Canadian / US citizen if a) I do not sell the shares and keep them or b) I sell the shares? Thanks!
